Exclusive to travel: Voyager AI takes over promerget’s M&A agents

No competitor in the DACH specialist travel segment gets them. The consolidation of roughly 795 owner-run businesses is now automated — not advised on.

Voyager AI GmbH receives exclusive access to the M&A agents of promerget GmbH. The agents are being adapted to Voyager AI’s operating model and are available solely to the travel and tourism vertical. No competitor in the segment gets them — not later, and not at a premium.

The reason is a market problem the industry has known about for years and has not solved. The DACH segment of specialist tour operators — luxury, themed, study and experience travel — comprises around 795 businesses. The average owner is over 55 and succession is unresolved in most cases. Anyone who wants to find, assess and integrate these businesses does not need a presentation. They need a pipeline.

The agents arrive in three waves: first sourcing, screening and post-merger integration, then due diligence and valuation, and finally contract drafting. The rights to the generic engine remain with promerget. Voyager AI receives a perpetual, transferable right of use to the adapted instances.

Post-merger integration comes in the first wave, not the last

The order is not incidental. It is the actual statement of the agreement.

For owners this reverses the order of a sale: first the software runs in the business, then a shareholding is discussed. Only what has grown in that time is acquired.

Johann Horch is Managing Director of promerget GmbH and at the same time Chief Growth Officer of Voyager AI GmbH. Both companies have therefore structured the agreement at arm’s length on the basis of a documented market-price model. promerget receives an ongoing base fee and a non-voting success participation that vests with the delivery and acceptance of the three agent waves. No shares are transferred and no voting rights are created.
