§ 1 Scope
These terms apply to all M&A advisory agreements between promerget GmbH and its clients.
§ 2 Services
Technology-enabled M&A advisory powered by AI agents. We do not provide legal or tax advice.
§ 3 Fees
Retainer: €15,000/month. Success Fee: 3% (Advisory) / 4% (incl. PMI). PMI Retainer: €25,000/month, 6-month minimum term.
§ 4 Confidentiality
All mandate data is processed in isolated systems. No cross-mandate data transfer. Confidentiality obligation: duration of mandate + 3 years.
§ 5 Use of AI
The client consents to the use of AI agents in the advisory process. All AI outputs are reviewed by human advisors before delivery.
§ 6 Liability
Unlimited liability for intent and gross negligence. Liability for slight negligence is limited to the total fees paid under the engagement.
§ 7 Term
Advisory mandates run until transaction completion. PMI engagements: 6 months with automatic renewal, subject to 4 weeks written notice.
§ 8 Governing Law & Jurisdiction
German law applies. Place of jurisdiction: Koblenz, Germany.
